Cipher Five Terms of Use

1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of the Cipher Five website, mobile apps, and related services available through cipherfive.app (collectively, the "Services"). The Services are operated by RIDE COLLECTIVE POWERSPORTS LTD. ("Cipher Five," "we," "us," or "our").

By downloading, accessing, browsing, registering for, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts

Cipher Five is intended for a general audience / teens+ user base and is not directed to children under 13.

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may only use the Services with the involvement and permission of a parent or legal guardian.

You may use the Services through a registered account, a linked provider account, or a guest/device-based flow if we offer one. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity that occurs through your account or device.

3. License to Use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial entertainment use.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, exploit, or otherwise use the Services except as expressly permitted by law or by us in writing.

4. Acceptable Use

You agree not to:

violate any law, regulation, or third-party right;
cheat, exploit bugs, automate gameplay unfairly, manipulate scores, or interfere with rankings, challenges, ads, rewards, or social features;
impersonate any person or entity, misrepresent your identity, or create misleading usernames or profiles;
upload, transmit, or display unlawful, defamatory, infringing, hateful, harassing, obscene, or otherwise harmful content;
interfere with the security, integrity, availability, or operation of the Services;
access data or accounts without authorization;
use the Services for commercial exploitation, reselling, or unauthorized promotional activity; or
attempt to bypass restrictions, moderation, eligibility rules, anti-abuse systems, or platform policies.

We may investigate suspected violations and take any action we consider appropriate, including suspending or terminating access, removing content, resetting impacted data, or reporting conduct to authorities or platform providers.

5. Usernames, Profiles, Content, and Social Features

You may be able to create usernames, avatars, profile details, room names, challenge content, messages, reports, or other materials through the Services ("User Content").

You retain ownership of User Content you lawfully create, but you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, use, copy, reproduce, modify, adapt, publish, display, distribute, and otherwise process that User Content as needed to operate, improve, secure, promote, and provide the Services.

You represent that you have all rights needed for User Content you submit and that it does not violate law or the rights of others.

6. Leaderboards, Gameplay Records, and Fair Play

Cipher Five includes competitive and social gameplay features such as scores, statistics, streaks, rooms, challenges, and leaderboards. We may review, invalidate, remove, correct, delay, or refuse to publish gameplay records, rankings, rewards, or profile visibility where we suspect cheating, manipulation, technical error, abuse, fraud, or policy violations.

We may also update scoring logic, challenge rules, matchmaking behavior, room mechanics, anti-abuse measures, or gameplay systems at any time.

7. Purchases, Paid Features, Ads, and Promotions

The Services may include paid features, subscriptions, virtual entitlements, advertisements, sponsorships, promotions, or reward mechanisms.

If you make a purchase through Apple, Google, or another platform, the applicable platform terms, billing rules, and refund policies will also apply. Except where required by law, all fees are non-refundable once charged or delivered.

Advertisements and promotions may be served by us or third parties. Your interactions with advertisers or promotion partners are between you and them, except where we explicitly state otherwise.

8. App Stores and Third-Party Services

If you download the Services from the Apple App Store, Google Play, or another marketplace, you acknowledge that the relevant store provider is not responsible for the Services except as required by its own terms and applicable law.

Third-party services, websites, login providers, ad partners, analytics tools, payment processors, and platform providers may impose their own terms, privacy notices, and rules. We are not responsible for third-party services that we do not control.

9. Intellectual Property

The Services, including the Cipher Five name, branding, logos, visual interfaces, game mechanics, artwork, software, databases, audio, text, graphics, and other content, are owned by us or our licensors and are protected by intellectual property and other laws.

Except for the limited license in these Terms, no right, title, or interest in the Services is transferred to you.

10. Feedback

If you send us ideas, suggestions, bug reports, feedback, or proposals regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, disclose, publish, and exploit that feedback without restriction or compensation to you.

11. Suspension, Termination, and Account Deletion

We may suspend, restrict, disable, or terminate your access to all or part of the Services at any time, with or without notice, if we believe you violated these Terms, created risk for the Services or other users, or if we are required to do so for legal, technical, or operational reasons.

You may stop using the Services at any time and may request account deletion through available account tools or by contacting us. Certain information may be retained after deletion where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, or business recordkeeping.

12. Service Availability and Changes

We may modify, suspend, discontinue, or restrict any feature, game mode, account type, reward system, social feature, leaderboard, ad experience, or supported platform at any time.

We do not guarantee that the Services will always be available, uninterrupted, error-free, secure, or compatible with every device, network, region, or platform version.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, TITLE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, REVENUE, BUSINESS, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) CAD $100.

15. Indemnity

You agree to defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party right.

16. Governing Law and Forum

These Terms and any dispute arising out of or relating to the Services or these Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of law rules.

You agree that any dispute that cannot be resolved informally will be brought exclusively in the courts located in British Columbia, Canada, and you submit to the personal jurisdiction of those courts.

17. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last Updated" date. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
